    Corporate Counsel (Transactional)

     

    Heartland Dental is looking to expand our team!  As a Corporate Counsel at Heartland Dental, you must be capable of handling a substantial amount of work in a fast-paced, dynamic in-house legal department.  We are looking for a flexible team player who is professional and service-oriented at all times.

    This Corporate Counsel position will play a critical role supporting the Legal Department’s work-flows and pro-active projects. 

    Responsibilities

    Below is an overview of the duties and responsibilities associated with this position:

    • Provide wide-ranging, timely day-to-day advice on acquisition matters and other corporate transactions as needed
    • Interface with and supervise outside counsel on transactional matters
    • Provide other in-house legal services as needed, including credit agreements, real estate agreements, provider agreements, vendor agreements and other commercial contracts
    • Assist with securities related issues and ensure compliance with applicable securities laws
    • Conduct legal research as needed
    • Respond to day-to-day inquiries from internal stake-holders on a wide-range of legal subjects and consult with other in-house attorneys as needed
    • Work on special projects to support the work of the Legal Department and the needs of the Company
    • Work with a contract management system and develop meaningful reports and dashboards
    • Respond to multiple and changing priorities as part of the daily workflow
    • Provide timely turnaround on requests for legal review of contracts

    Qualifications

    Minimum Requirements:

    • D. from an accredited law school
    • Member in good standing of State Bar (Illinois preferred)
    • Minimum 4 years of relevant experience at a medium or large law firm
    • Excellent drafting and negotiation skills;
    • Commitment to expeditious, high-quality service to internal customers and the dedication to work the hours it takes to meet those expectations;
    • Ability to collaborate well with attorneys and colleagues;
    • Possess integrity and a strong moral and ethical compass;
    • Ability to proactively identify and analyze potential legal issues, and to develop creative and business focused legal advice and solutions
    • Excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines
    • Strong oral and written communication skills
    • Ability to travel within the U.S., as needed (occasional to moderate travel)

     

    Desirables: 

    • Familiarity with federal and state healthcare laws;
    • Experience developing and refining contract processes, as well as developing templates to enhance standardization and systemization;
    • Significant experience drafting transactional documents and commercial contracts;
